Calivia Cook Terms & Conditions

Welcome to Calivia Cook. These Terms and Conditions ("Terms") are a binding agreement between you and Calivia Digital Solutions Ltd ("we", "us", or "our"), a company registered in Nigeria (RC Number: 9442497), governing your access to and use of the Calivia Cook mobile application and any related services (together, the "App"). Please read them carefully. By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree with any part of them, please do not use the App.

1. Definitions

"Device Data" means the recipes, meal plans, shopping lists, pantry entries, notes, ratings, and settings the App stores on your own device, as described in Section 5.

"Content" means any recipe, ingredient, step, image, note, rating, or other material available in or through the App, whether provided by us, imported from a third-party source, or created by you.

"Your Content" means Content you create yourself, such as a manually typed recipe, a note, a rating, or a photo you add.

"Services" means the App's features generally, including recipe import, meal planning, shopping lists, pantry tracking, and the AI-assisted features described in Section 9.

2. Eligibility

You must be at least 13 years old, or the age of digital consent in your country if higher, to use the App. If you are under the age of majority where you live, you should only use the App with the involvement of a parent or guardian, and any dietary or health-related decisions covered in Section 10 should be made with their supervision.

3. The Service

Calivia Cook helps you collect, organise, and cook recipes. You can import a recipe from a link, paste in recipe text, or type one in yourself; plan meals across the week; generate a week of meals for a chosen eating pattern; build a shopping list from what you have planned; track calories across that plan; have cooking steps read aloud; and keep track of what is in your pantry.

The App is free to download and use, and is paid for by advertising. One feature is metered rather than unlimited: importing a recipe from a link or pasted text is processed by our service at our cost, so it runs on a monthly allowance. When that allowance is used up you can watch a short advert to get another import, or wait for the following month. Typing a recipe in by hand is never limited, so nothing stops you adding a recipe. Everything you have already saved stays fully usable either way, and cooking, planning and your shopping list are never interrupted. The App also contains affiliate links to retailers, may contain recipes sponsored by food brands, and sells optional recipe books and meal plans, as set out in Sections 12 and 13.

We may add, change, or remove features over time, including to improve the App, keep it secure, or comply with the law. Some features depend on an active internet connection and will not work offline: importing a recipe, estimating nutrition, translating a recipe, ranking suggestions, and generating "Make it Healthier" swaps.

4. Licence to Use the App

Subject to these Terms, we grant you a personal, limited, revocable, non-exclusive, non-transferable licence to download and use the App on a device you own or control, for your own personal, non-commercial use. This licence does not give you any ownership interest in the App, its software, or its design. It grants only the right to use the App as intended.

5. No Account Required

The App does not require you to create an account, and we do not operate one for you. Every feature is available as soon as you install it. Your recipes, meal plans, shopping lists, pantry entries, and settings, together your Device Data, are stored on your own device rather than on our servers.

This has a consequence worth stating plainly. Because we hold nothing for you, your Device Data is not backed up by us and cannot be recovered by us. If you uninstall the App, reset your device, or use the "Delete my data" option in Profile, that data is gone for good. See Section 18.

Optional purchases (Section 13) are tied to your Google Play or App Store account rather than to any account with us, and can be restored on any device signed in to that same store account.

6. Acceptable Use

When using the App, you agree not to:

• use it for any unlawful purpose;
• attempt to gain unauthorised access to our systems or to another user's device;
• interfere with or disrupt the App's operation;
• reverse-engineer, decompile, or attempt to extract the App's source code except where the law expressly permits it;
• use automated means to scrape, harvest, or bulk-download Content beyond your own personal library; or
• upload or paste anything as part of an import that you do not have the right to use, or that is unlawful, defamatory, or infringes someone else's rights.

7. Your Content

You retain ownership of Your Content: a recipe you type yourself, a note, a rating, or a photo you add. Because this data lives on your own device, we do not have a copy of it and cannot access, use, or share it ourselves.

You are responsible for making sure Your Content does not infringe anyone else's rights and does not violate the law. If you choose to share or export Your Content, for example by sending a shopping list to someone else, that is between you and the recipient, and these Terms do not extend to how they use it afterward.

8. Recipe Content and Third-Party Sources

Many of the recipes available in the App were imported from third-party websites, videos, or social posts, either from a link you provided or from a curated collection we have put together. The ingredients, steps, and photos for those recipes may originate from, and remain the property of, their original publisher.

Where a recipe was imported from elsewhere, its detail screen links back to the original source ("View original"). We do not claim ownership over third-party Content and make reasonable efforts to attribute it correctly. If you believe Content in the App infringes your rights, contact us using the details in Section 23 and we will review and remove it as appropriate.

9. AI-Generated Content

Some features in the App are generated or assisted by artificial intelligence models: nutrition estimates, "Make it Healthier" suggestions, recipe translation, and parsing a recipe from pasted text or a link. We have designed these features to reflect real, sound culinary and nutritional judgment rather than generic guesses, and we aim for accuracy, but the output is an approximation. It is not a verified laboratory measurement, and it is not professional dietary, nutritional, or medical advice.

We do not guarantee that this Content is complete, accurate, or error-free. You are responsible for using your own judgment before relying on it, particularly where food safety or a medical condition is involved. See Section 10.

10. Food Safety and Dietary Information

Calivia Cook is a cooking and organisational tool, not a source of medical or dietary advice. Recipe instructions, ingredient substitutions, and nutrition or health-goal related suggestions are provided for general informational purposes only.

You are solely responsible for reviewing any recipe's ingredients against your own allergies, intolerances, medical conditions, or dietary requirements, and for following safe food handling and cooking practices. This applies equally to recipes displayed in a different language, where translation is AI-assisted and may not be perfectly precise. Always consult a qualified healthcare professional or registered dietitian before making decisions that affect your health, a medical condition, or a child in your care.

11. Intellectual Property

Aside from third-party Content (Section 8) and Your Content (Section 7), the App itself is owned by Calivia Digital Solutions Ltd or its licensors and is protected by applicable intellectual property laws. This includes its software, design, branding, and the original text and organisation of these Terms. Nothing in these Terms transfers any of that ownership to you.

12. Advertising, Affiliate Links and Sponsored Content

The App displays advertising supplied by Google AdMob. What that involves, what Google receives, and how to turn personalised advertising off is set out in our Privacy Policy. Buying any product from Profile › Books & plans removes advertising from the App.

Some adverts are optional, and you are always told what you get before one starts. Watching an optional advert either unlocks one recipe from a premium collection, which is then yours to keep and does not expire, or grants one additional recipe import. Declining costs you nothing you already had, and no advert is ever required to use a recipe you have already saved.

Affiliate links

Links to kitchen equipment and grocery delivery services are affiliate links, and we may earn a commission if you buy through them, at no extra cost to you. They are labelled as paid links. We are not a party to any purchase you make from a retailer, we do not control their prices, stock, delivery or returns, and any dispute about an order is between you and that retailer.

Sponsored recipes

A food brand may pay for a recipe to carry its name. Such a recipe is clearly marked "Sponsored" and names the brand. The recipe, its ingredients and its method are ours and are not altered at a sponsor's request. A sponsorship is not an endorsement by us of that brand's products.

None of the above changes what the App costs you, and no feature is withheld because you decline personalised advertising.

13. Purchases

The App itself is free. It offers optional one-off purchases, recipe books and meal plans, which unlock additional recipes in your library. These are not subscriptions: there is nothing to renew and nothing to cancel, and what you buy does not expire.

All purchases are processed by Google Play or the Apple App Store under their own terms. We never receive or store your payment details. Prices are shown in the App before you are charged, and we may change them for future purchases.

Your purchase is tied to the Google or Apple account you bought it with, not to any account with us, and can be restored on any device signed in to that account using "Restore previous purchases".

Refunds are handled under the relevant app store's policy and any statutory rights you have. If you are a consumer in the EU or UK, your statutory right to withdraw from a digital purchase applies as provided by the app store you bought through.

14. Third-Party Services

The App may link out to third-party websites, most commonly the original source of an imported recipe, and may rely on third-party infrastructure to operate, such as the AI models behind nutrition estimates and translations. We do not control those third parties and are not responsible for their content, availability, or practices. Visiting a third-party site is subject to that site's own terms and privacy practices, not ours.

15. Disclaimer of Warranties

The App is provided "as is" and "as available", without warranties of any kind, whether express or implied, including, to the fullest extent permitted by law, any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be uninterrupted, secure, or error-free, or that any recipe, nutrition estimate, or AI-generated suggestion will be accurate or suitable for your particular needs.

16. Limitation of Liability

To the fullest extent permitted by law, Calivia Digital Solutions Ltd and its employees, representatives, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the App or your inability to use it.

Where liability cannot be excluded by law, it is limited to damages caused by our intentional acts or gross negligence, and, in the case of data loss, to what a reasonable backup practice would have prevented. Nothing in these Terms limits any liability that cannot be limited under applicable law, including for statutory product liability.

17. Indemnification

You agree to indemnify and hold harmless Calivia Digital Solutions Ltd and its employees, representatives, and affiliates from any claim, loss, or expense (including reasonable legal fees) arising from your violation of these Terms, your misuse of the App, or Your Content.

18. Term and Termination

These Terms apply for as long as you use the App. You may stop using the App or uninstall it at any time. Because Your Content and app data are stored on your own device, uninstalling the App removes them from that device, and we do not hold a separate copy to delete on our end.

We may suspend or terminate your access to the App if you violate these Terms. Any provision of these Terms that by its nature should survive termination, including Sections 11, 15, and 16, will continue to apply.

19. Changes to These Terms

We may update these Terms from time to time, whether to reflect a change in the law, a new feature, or how the App operates. We will note a new effective date at the top of this page when we do. For a change significant enough that it could reasonably affect you, we will let you know in advance through a notice in the App. Continuing to use the App after a change takes effect means you accept the updated Terms. If you do not agree with a change, your option is to stop using the App.

20. Governing Law and Disputes

These Terms are governed by the laws of Nigeria, without regard to its conflict-of-law principles. If you are a business user, or you reside outside Nigeria, any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of Nigeria, unless a mandatory law in your own country requires otherwise.

21. Language of These Terms

Calivia Cook's interface may be offered in English, Spanish, French, Italian, and Portuguese, and we may in the future provide a translated version of these Terms for convenience. Regardless of the language you use the App in, this English version of the Terms is the authoritative one, and it governs in the event of any conflict or ambiguity with a translation.

22. General Provisions

If any provision of these Terms is found unenforceable, the rest will remain in full effect, and the unenforceable provision will be interpreted to reflect its original intent as closely as the law allows. These Terms, together with our Privacy Policy, make up the entire agreement between you and Calivia Digital Solutions Ltd regarding the App, and supersede any prior understanding on the subject. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms or your rights under them to anyone else. We may assign them in connection with a merger, acquisition, or sale of assets.
